Welcome to ShortBamboo ("Company," "we," "us," "our"). These Terms & Conditions ("Agreement") govern your use of our website and services. By accessing and using ShortBamboo, you accept and agree to be bound by this Agreement.

1. Acceptance of Terms

By using our website and services, you confirm that you are at least 18 years old (or have parental consent if under 18) and have the legal authority to enter into this Agreement. If you do not agree to these Terms & Conditions, do not use our services.

2. Service Description

ShortBamboo provides content consulting and creation services to D2C (Direct-to-Consumer) brands, including:

• Content audits and analysis
• Script writing and creative direction
• Creator management and coordination
• Performance tracking and optimization

Note: We do not guarantee specific performance metrics or sales results. Content performance depends on multiple factors including audience quality, platform algorithms, market conditions, and execution quality.

3. Service Delivery

3.1 Timeline

• Content Audit: 3-5 business days
• Script Writing: 5-7 business days
• Creator Execution: 5-14 days (depends on creator availability)
• Full Delivery: 2-3 weeks from project start

3.2 Revisions

• Content Audit: No revision rounds (one-time analysis)
• Script Package: 1 revision round included
• Full Program: Unlimited revisions

Additional revisions beyond the included rounds will be charged at ₹2,000 per revision.

3.3 Creator Execution

We coordinate with creators to execute scripts according to our direction. We are not responsible for:

• Creator quality of work or reliability
• Creator cancellations or delays
• Creator's compliance with brand guidelines (you're responsible for clear communication)

4. Payment Terms

4.1 Accepted Payment Methods

We accept the following payment methods:

• UPI (Unified Payments Interface)
• Bank Transfer (NEFT/RTGS)

4.2 Payment Schedule

• Content Audit: 100% upfront before work begins
• Script Package: 50% upfront, 50% upon delivery
• Full Program: Monthly payment in advance

4.3 Refund Policy

No refunds are offered once work has begun. However, we will work with you to resolve any issues or concerns about our service. If you're unsatisfied, please reach out before requesting cancellation.

4.4 Payment Failures

If payment fails or is delayed beyond 7 days of the due date, we reserve the right to suspend services until payment is received. Repeat payment failures may result in termination of the engagement.

5. Intellectual Property

5.1 Our Content

All scripts, creative direction, and original content created by ShortBamboo remains our intellectual property unless otherwise agreed in writing.

5.2 Creator Content

Content created by creators using our scripts is owned by the creator. You have the right to use this content for:

• Organic posting on social media (Instagram, TikTok, YouTube, etc.)
• Paid advertising on social platforms

Note: Paid advertising rights may incur additional costs depending on creator agreements. We'll clarify this before engagement.

5.3 Your Content

You retain all rights to your brand assets, products, and existing content. By providing these to us, you grant us a license to use them solely for the purpose of creating scripts and content for your project.

6. Limitation of Liability

In no event shall ShortBamboo be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or data.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during our engagement. This includes:

• Your business strategies and data
• Our proprietary processes and methodologies
• Creator details and arrangements

Confidentiality obligations survive termination of our engagement for a period of 2 years, except where disclosure is required by law.

8. Termination

8.1 By You

You may terminate services with 7 days' written notice. Payments for work already completed will not be refunded.

8.2 By ShortBamboo

We may terminate services if:

• You breach these Terms & Conditions
• Payment is not made within 14 days of the due date
• Your business engages in illegal activities
• You violate our content policies

9. Content Policies

We do not create content that:

• Promotes illegal products or services
• Contains hate speech or discrimination
• Violates intellectual property rights
• Is sexually explicit or exploitative
• Violates platform terms of service
• Makes false medical or health claims
• Contains misinformation or harmful content

10. Limitation of Service

ShortBamboo is not responsible for:

• Creator cancellations or no-shows
• Platform algorithm changes or reach decline
• Technical issues with third-party platforms
• Market saturation or competitive pressure
• Your implementation or timing of content

11. Communication

All communication regarding projects will be conducted via email or WhatsApp. We aim to respond within 24 business hours. By accepting these Terms, you consent to receive communication through these channels.

12. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.

13. Governing Law

These Terms & Conditions are governed by the laws of Uttar Pradesh, India. Any legal action or proceeding shall be brought exclusively in the courts located in Aligarh, Uttar Pradesh.
